These Terms and Conditions ("Terms") govern your access to and use of the JuvinTech Inc. website at www.juvintech.com (the "Site") and, where no separate Master Service Agreement (MSA) is in effect, the professional services provided by JuvinTech Inc., a New York corporation ("JuvinTech," "we," "our," or "us"). By accessing the Site or engaging our services, you agree to be bound by these Terms in their entirety.

1. Acceptance and Eligibility

By using the Site, you represent that you are at least 18 years of age, have the legal authority to enter into binding agreements on behalf of yourself or your organization, and agree to comply with these Terms and all applicable laws. If you do not agree to these Terms, you must immediately discontinue use of the Site.

2. Relationship to Service Agreements

Managed IT, cybersecurity, cloud, AI/fintech application development, and professional services provided by JuvinTech to clients are governed exclusively by executed Master Service Agreements (MSAs), Statements of Work (SOWs), and any incorporated schedules or addenda (collectively, "Service Agreements"). These Terms apply to general use of the Site and to any pre-contractual engagement. In the event of a conflict between these Terms and an executed Service Agreement, the Service Agreement controls in all respects.

3. Use of the Site

The Site is provided for lawful business information and inquiry purposes only. You agree not to: use the Site in violation of any applicable federal, state, or local law or regulation; transmit any content that is defamatory, fraudulent, infringing, or otherwise unlawful; attempt to gain unauthorized access to any system, network, or data associated with the Site; use automated scraping, crawling, or data extraction tools without prior written consent; or interfere with the security, integrity, or availability of the Site or its infrastructure.

4. Intellectual Property

All content on the Site — including text, graphics, logos (including the JuvinTech animated mark), images, code, data compilations, and software — is the proprietary property of JuvinTech Inc. or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. The JuvinTech name, logo, and associated marks are trademarks of JuvinTech Inc. No license to use any JuvinTech trademark is granted by these Terms.

You may access and view Site content for personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Site content without our prior express written permission, except: (a) your computer may temporarily store copies incidental to normal browsing; and (b) you may print or download one copy of a reasonable number of pages for non-commercial personal reference.

5. Confidential Information

Any non-public business, technical, or financial information disclosed by either party in connection with a potential or actual services engagement shall be treated as confidential and used solely for the purpose of evaluating or performing such engagement. This obligation survives termination of any services relationship for a period of three (3) years, or indefinitely with respect to trade secrets. Confidential information excludes information that is publicly available through no fault of the recipient, independently developed without reference to the disclosing party's information, or required to be disclosed by law or regulatory order.

6. Technology Procurement Terms

Hardware, software, and technology products procured by JuvinTech on behalf of clients are subject to the manufacturer's or publisher's applicable end-user license agreements (EULAs), warranty terms, and return policies. JuvinTech acts as a reseller and makes no independent warranties with respect to third-party products beyond those provided by the manufacturer. Client-specific procurement terms are governed by the applicable SOW or purchase order.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JUVINTECH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE. NO ORAL OR WRITTEN INFORMATION OBTAINED FROM JUVINTECH OR THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OR AN EXECUTED SERVICE AGREEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUVINTECH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF JUVINTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, JUVINTECH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100). THE LIMITATIONS IN THIS SECTION APPLY TO ALL CAUSES OF ACTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Note: Liability limitations applicable to contracted managed IT and professional services are governed exclusively by the applicable MSA, which contains separate negotiated liability caps and indemnification provisions.

9. Indemnification

You agree to defend, indemnify, and hold harmless JuvinTech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including any content you submit and any activity occurring through your access credentials.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our data practices as described in the Privacy Policy.

11. Governing Law and Dispute Resolution

These Terms and any disputes arising from or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, the parties agree to attempt good-faith resolution of any dispute by written notice to the other party identifying the nature of the dispute and the relief sought. If the dispute is not resolved within thirty (30) days, either party may pursue available legal remedies.

12. Digital Millennium Copyright Act (DMCA)

JuvinTech respects intellectual property rights. If you believe that content on the Site infringes your copyright, please submit a written DMCA notice to legal@juvintech.com containing: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material and its location on the Site; (iii) your contact information; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (vi) your physical or electronic signature.

13. Modifications

JuvinTech reserves the right to modify these Terms at any time in its sole discretion. Material changes will be communicated by updating the effective date at the top of this page and, where appropriate, by direct notice. Your continued use of the Site following posting of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. JuvinTech's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and JuvinTech with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
